What are you assuming heads of agreement is agreeing to terms. Nowhere on your quote does it say null and void. Perhaps they agreed to 2022?
Heads of agreement is rubbish unenforceable legal drivel. It’s non binding and not worth the paper it’s written on. It’s a contract, signed, or nothing. There is no middle ground with this

We may have been able to get him by giving up a player, but why do that if he has one eye looking elsewhere.

So for full freight of what JAC is worth we get all his skill but we minus what Nofa brings to the team. We don't have a ready made replacement that brings what Nofa brings so we either find someone that matches him or we lose out in that position. Now overall we end up with a net gain, but is the net gain we achieve worth what we are paying JAC at full freight.

We have offered him what he is worth with a chance to earn more. He either comes or he doesn't.

I’m so happy you’re not negotiating contracts. There’s a certain amount of task tension surrounding career defining contracts. Sometimes best to take small steps first.
What I still don’t understand is why it’s off. It’s not off until one of the 3 parties involved say it is, and I’ve read or heard nothing like that.
