HBG is a registered club in NSW and as such are required to be not for profit as well as provide benefits to members, including, I believe voting rights to at least 25% of members.
From what I can understand, the debenture system limits the ability of members to vote effectively as the power is held with 18 people. Maybe they hold elections, but it's about as good as a Venezuelan election. It's all an illusion.
